ARQIS advises Winterhoff on takeover by DexKo

ARQIS has advised the Winterhoff family on the complete takeover of the Winterhoff Group by DexKo, a global leading running gear company. This deal from the automotive supply industry has now been approved by the Federal Cartel Office.
The acquisition means that Dexko will expand the core business of AL-KO Fahrzeugtechnik, based in Kötz near Augsburg. AL-KO is expanding its entire area of the product segments of jockey wheels, couplings and fittings. The company is increasing its own production depth and simultaneously optimising its internal value-added and supply chains in the European market.
Rainer Winterhoff, Managing Director of the Winterhoff Group, explains: “This is the ideal time, also in light of the rapid globalisation, to put our business on a promising path to a joint future with this merger. AL-KO Vehicle Technology is the perfect fit for this strategic move.”
ARQIS has already advised the Winterhoff Group on corporate law aspects before. The team led by Dr. Jörn-Christian Schulze and Dr. Christof Schneider was recommended by WP StB Ingolf Schulte (SWM Schulte Wahle Marquardt), who now has advised on tax and commercial aspects of the sale.
The team led by Dr. Jörn-Christian Schulze only recently advised the French TRIGO Group on the acquisition of the German company Böllinger, a quality assurance provider for the automotive industry.
