ARQIS advises Alloheim on the acquisition of two Nursing Home Operators

ARQIS has advised Alloheim Senioren-Residenzen SE on the acquisition of the Mohring Group and the Vital Wohnen Group. The takeover of the two nursing home operators is subject to the approval of the relevant antitrust authorities. The parties have agreed not to disclose the purchase price.
With the acquisition of the Mohring Group and the Vital Wohnen Group, the Duesseldorf-based nursing home group is strengthening its presence in North Rhine-Westphalia. Both companies, which are based in Lünen/NRW, are active in inpatient care, assisted living, outpatient care and day care.

This is an important factor both for the quality of life of the residents and for the satisfaction of the employees”.
The Mohring Group has been active as a private operator of care facilities in North Rhine-Westphalia since 1996. Alloheim Senioren-Residenzen SE takes over four inpatient senior citizens’ facilities with 324 beds and assisted living at two locations as well as an outpatient nursing service and three day care facilities. The Vital Wohnen Group is a subsidiary of the Mohring Group in North Rhine-Westphalia which is managed jointly with a real estate developer. Six inpatient nursing care facilities with 461 beds from Vital Wohnen are now being transferred to Alloheim. The purchase also includes six future locations with 391 inpatient care places. Two will be opened this year, the other four in the coming year.
All locations of both groups will ultimately offer a total of 1,176 beds in inpatient facilities with a single room rate of 97 percent and 287 units in assisted living. In addition, there will be 109 places in day care as well as an outpatient service and a senior citizens’ residential home. When the transaction is completed, which is expected in the spring, Alloheim will unite around 24,000 beds in inpatient care and assisted living under its roof.
ARQIS has been involved in numerous add-on acquisitions of the Alloheim Group since 2010, most recently the acquisition of the Pro Talis Gruppe in May 2019. The firm also regularly advises Alloheim on real estate law.
The sellers in the transaction were advised by the law firm Aderhold, Dortmund, as well as ato kubik and Your Care Consult as lead advisor.
